Welcome to Dana. These Terms of Service ("Terms") govern your access to and use of the Dana website at danahq.com and any related services, applications, or tools (collectively, the "Service") operated by Dana HQ Inc. ("Dana," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Dana is an AI-powered meeting preparation assistant that creates personalized meeting briefs by connecting to your calendar, email, and professional networks. Our Service helps you prepare for meetings by aggregating relevant context about the people you're meeting with.

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Subject to your compliance with these Terms, Dana grants you a personal, non-exclusive, non-transferable, limited license to access and use the Service for your personal or internal business purposes.

You may not:

• Copy, modify, or distribute the Service or any content from it
• Reverse engineer, decompile, or disassemble the Service
• Remove any copyright, trademark, or proprietary notices
• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to transmit viruses, malware, or other harmful code

The Service integrates with third-party services including but not limited to Google Workspace, Microsoft 365, LinkedIn, Salesforce, HubSpot, and other calendar, email, and CRM platforms. Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

You authorize Dana to access and retrieve information from these connected services on your behalf to provide the Service. You are responsible for maintaining valid credentials and permissions for these integrations.

You retain ownership of any content you submit through the Service. By using the Service, you grant Dana a worldwide, non-exclusive, royalty-free license to use, process, and display your content solely for the purpose of providing and improving the Service.

We may use aggregated, anonymized data derived from your use of the Service for analytics, product development, and service improvement purposes.

Some features of the Service require a paid subscription. Current pricing is available at danahq.com/pricing. By subscribing to a paid plan, you agree to pay the applicable fees.

• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel your subscription at any time through your account settings
• Refunds are handled on a case-by-case basis
• We may change our fees with at least 10 days' notice before your next billing cycle

Payment processing is handled by Stripe. Your payment information is subject to Stripe's terms and privacy policy.

The Service and its original content, features, and functionality are owned by Dana HQ Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

"Dana," the Dana logo, and other Dana trademarks are trademarks of Dana HQ Inc. You may not use these marks without our prior written permission.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any information provided through the Service is accurate or complete. The meeting briefs generated by Dana are intended as preparation aids and should not be relied upon as the sole source of information.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DANA HQ INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Dana HQ Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may request deletion of your data in accordance with our Privacy Policy.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
